Terms of Service

Please read these terms carefully before using Client Scale Ops services.

Section 01

Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Client Scale Ops ("CSO," "we," "us," or "our") governing your access to and use of our services, including but not limited to website design, hosting, virtual receptionist services, and call notification systems.

By paying the setup fee, signing up, or using any CSO service, you confirm that you have read, understood, and agree to be bound by these Terms in full. If you do not agree to these Terms, do not use our services.

Section 02

Services Provided

Client Scale Ops provides the following services under a monthly subscription:

CSO reserves the right to modify, suspend, or discontinue any aspect of the service with 30 days written notice to you.

Section 03

Fees, Billing & Payment

Our pricing structure is as follows:

Non-payment: If payment fails, CSO will attempt to collect payment for 7 days. If payment is not received within 7 days of the due date, services may be suspended without further notice until the outstanding balance is resolved.

All fees are non-refundable except where required by applicable law. CSO does not offer prorated refunds for partial months of service.

Current plan pricing is listed at csoclientscaleops.com/pricing. CSO reserves the right to adjust pricing with 30 days written notice to active clients.

Fair-Use Minutes Policy: Each monthly plan includes a fair-use minutes allowance: After-Hours/Weekends — 150 min, Essential — 300 min, Pro — 600 min, Elite — 1,000 min, Full Package — 1,200 min. If usage exceeds the applicable cap in a billing month, additional minutes will be billed at $0.18 per minute and invoiced separately. CSO will notify the Client before applying overage charges. Minutes do not roll over between billing periods.

Overage During Free Trial Month: The complimentary first month of service is subject to the same fair-use minutes allowance as paid months. If a Client exceeds their plan's included minutes during the free trial period, overage minutes will be billed at $0.18 per minute and invoiced at the end of the trial month. By accepting service, the Client authorizes CSO to charge the payment method on file for any overage incurred during the free trial month.

Excessive Usage & Service Pause: If a Client consumes more than two times (2x) their plan's monthly minute allowance during the free trial month, CSO reserves the right to pause AI receptionist service until the Client upgrades to a higher plan or pays the applicable overage balance. CSO will provide written notice before pausing service and will work with the Client to restore service promptly upon resolution.

Section 04

Ownership of Assets

Important: All digital assets created, configured, or managed by Client Scale Ops — including but not limited to website design and code, website content, domain configuration, phone numbers, receptionist scripts, call recordings, notification workflows, and hosting infrastructure — remain the exclusive property of Client Scale Ops at all times.

You are granted a limited, non-exclusive, non-transferable license to use these assets solely for the purpose of operating your business during the active term of your subscription.

Upon cancellation or termination of services for any reason:

You retain ownership of any original content you personally provided to CSO, such as your business name, logo, photos, or written descriptions.

Section 05

Cancellation Policy

Either party may terminate the service relationship at any time by providing 30 days written notice via email to the address on file.

Following cancellation, all assets revert to Client Scale Ops as outlined in Section 04.

Limitation of Liability

Client Scale Ops provides services on an "as available" basis. While we strive for maximum uptime, we do not guarantee that the virtual receptionist or notification systems will be available 100% of the time due to factors outside our control, including third-party platform outages, carrier disruptions, or force majeure events.

To the fullest extent permitted by law, CSO shall not be liable for:

CSO's total liability to you for any claim arising under these Terms shall not exceed the amount you paid to Client Scale Ops in the 30 days preceding the claim.

Privacy & Call Recording

By using our service, you acknowledge and agree that:

Note: Many states require that all parties to a call be notified it is being recorded. You are responsible for ensuring your use of this service complies with call recording laws in your state and the states where your callers may be located.

Section 09

Modifications to Terms

Client Scale Ops reserves the right to update or modify these Terms at any time. When we do, we will notify you by email at least 14 days before the changes take effect. Your continued use of the service after that date constitutes acceptance of the revised Terms.

If you do not agree to the updated Terms, you may cancel your service within the 14-day notice period without penalty beyond fees already accrued.

Section 10

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Ocala, Florida, and both parties consent to the personal jurisdiction of such courts.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
